She didn't clone Bruce, just made Warren the ultimate cuck by genetically altering his balls to create Bruce Wayne sperm, so both of his kids are actually Bruce's sons. She hired the Phantasm to kill Terry's parents after leaving a movie, but Andrea got cold feet and successfully argued that it was kinda fucked up, so Waller abandoned the project.
Warren being killed and Terry becoming Batman anyway was sheer, complete coincidence. Or the will of God. It's DC, that's possible.
