I thought about this all last night.
It is all he has left in his career. He's all ready won ME WM, he has won a World Title match at WM, and done everything else you can do. As incredible as the match would be, I am not sure Punk going over Jericho at WM really does anything for him to get him ultra over as a main level threat. So Jericho wins, smiles, says nothing, leaves. And then HHH can find a way to the WWE Title match against Punk to punk him over huge.
