I think I was wrong, and maybe Fox accepted the deal, but Comcast (or whomever) can give their own counteroffer

id rather disney than comcast

comcast buying fox would mean them leveraging their role as ISP and freedom to fuck netflix to force their own content on users

Comcast would be a vertical integration Monopoly. Disney would be a horizontal one. Horizontal ones are much worse for consumers.

They're both desperate, but Comcast knew Disney is especially desperate. They started the bidding war and made Disney pay an extra $20 billion or so.

If your competition is a joke then you don't really have competition.

This is like saying WWE wasnt a monopoly after buying WCW because you could just watch something else.

People really need to learn what "monopoly" means. Like, corporate consolidation is absolutely bad, but this isn't going to make anyone a monopoly.

Also you still have a lot of options outside of Disney including flat out not watching movies. Watching movies is a very extraneous part of your life. Internet is ingrained in our daily life now and Comcast has customers by the balls.

Disney just upped their offer to $71 bn and it now includes cash. of course he'd call it Superior.

Need to wait for a Comcast counter offer.

Well not just that. Quotes like:

In a statement on Wednesday, Murdoch said, "We are extremely proud of the businesses we have built at 21st Century Fox, and firmly believe that this combination with Disney will unlock even more value for shareholders as the new Disney continues to set the pace at a dynamic time for our industry."

The statement added, "We remain convinced that the combination of [Fox's] iconic assets, brands and franchises with Disney's will create one of the greatest, most innovative companies in the world."

Sounds like he already have his mind made up.

Yeah for tax reasons with Disney offering stock in its offer plus lower anti trust concerns since they rejected Comcast months ago (which offered more than Disney) and decided to go with Disney. Other smaller shareholders would likely prefer the Comcast all cash offer if they aren't concerned about potential divestments.

Actually, Comcast came back with another offer just last week which included all breakup costs in case it didn't go through, plus any breakup costs with Disney. The new total was around $70B, which is why Disney countered again.

Ok... That doesn't really have anything to do with my post.

Disney offer with stock = lower tax bill for larger LT Fox shareholders on cash portion only, potentially less antitrust concerns

Comcast offer of all cash = higher tax bill for those LT Fox shareholders, but more beneficial to most shareholders as they receive cash, potentially higher anti trust concerns that may require divestments.

The Murdoch's went with Disney's original lower offer in December because it was favorable to them and had less risk of being blocked but with the AT&T TW deal being approved the risks of Comcast's offer being blocked/divesting assets is lower so other shareholders would likely prefer an all cash offer vs 50/50 cash and stock.

Sorry, I should have quoted properly. You said that they rejected Comcast months ago and went with Disney. But I was just pointing out that Comcast came back with another offer just last week after the AT&T/TW passing, which is why Disney responded again.

Yeah I am aware. My point is they initially rejected them due to the anti-trust concerns and the taxes owed on their cash offer originally even though they offered more, and that is why they are basically shilling for the Disney offer as it will be more beneficial for their tax situation even with the addition of cash. With anti-trust concerns likely lower now, they will have a harder time convincing other shareholders that Disney's offer is superior with stock and cash vs an (assumed) equivalent offer from Comcast of all cash.

Comcast must be laughing their assess off.
